Terms and Conditions
End User License Agreement (“EULA”)
Accreditation Resources, which is an affiliate of Infusion Consultant Services,
Inc. (“Accreditation Resources”), has provided you with The Accreditation
Advantage, which is a manual provided in an electronic format (“the Manual”).
The electronic format of the Manual provides convenient editing for
accreditation purposes. By installing, copying or using the Manual, you
and your organization (collectively “End User”) agree to be bound by the terms
of this EULA. If you and/or your organization, as the End User, do not
agree to the terms of this EULA, do not install, copy or use the manual, and
instead return it to Accreditation Resources at the address provided below.
I. License. Accreditation Resources grants the End User the following rights, provided
that the End User complies with all of the terms and conditions of this EULA:
A. The End User may install and use
one copy of the Manual on one personal computer. Alternatively, the End User
may install and use one copy of the Manual on a network storage device, such
as a server computer, and allow one personal computer to access and use that
copy of the Manual over a private network. If the End User desires to
add additional personal computers to access and/or use the Manual on the
network, additional licenses must be obtained by contacting Accreditation
Resources at the address provided below.
B. The End User may copy, print out,
electronically mail and/or edit the Manual only for the strictly limited
purpose of accreditation of the specific site of the End User for which the
Manual was purchased or distributed. Such accreditation includes
self-assessment and staff training for the specific site of the End User for
which the Manual was purchased or distributed. Any copying, printing,
electronic mailing, and/or editing of the Manual for any other purpose is
strictly prohibited.
C. In performing any editing of the
Manual in accordance with this EULA and the instructions provided in the
Manual, the End User agrees to keep all copyright notations and rights
provisions associated with Accreditation Resources in place.
II. Reservation of
rights. Accreditation Resources owns the Manual and all copyrights and
other intellectual property rights in the Manual, and reserves all rights not
expressly granted to the End User in this EULA. The End User may not
sell, license or distribute copies of the Manual by itself or as part of any
collection, product or service.
III. Use of data. It is
the policy of Accreditation Resources that any personal information that is
entered into our order forms or any other data fields on our website or
otherwise provided by the End User will not be shared. This information
includes data such as the an End User’s name, address, e-mail address, payment
information, registration information for educational products and services,
etc. Any information, however, which is submitted as comments or
feedback to Accreditation Resources shall become the property of Accreditation
Resources. When providing any such comments or feedback, the End User
grants Accreditation Resources the authority, permission and right to use the
submitted content in any way. This may include but is not limited to the sale,
marketing and promotion of Accreditation Resources products and services.
IV. Termination. Without
prejudice to any other rights, Accreditation Resources may immediately
terminate this EULA if the End User fails to comply with the terms and
conditions of this EULA. In such event, the End User must immediately
return the Manual to Accreditation Resources at the address provided below,
and destroy all copies of the Manual on any computers or devices within the
custody or control of the End User.
V. Disclaimer and limitation of
liability.
A. Disclaimer. Accreditation
Resources provides the Manual as is and with all faults, and hereby disclaims
all other warranties and conditions, whether express, implied or statutory,
including, but not limited to, any (if any) implied warranties, duties or
conditions of merchantability, of fitness for a particular purpose, of
reliability, accuracy, and/or any regulatory compliance with regard to the
Manual and the content and/or use thereof. Also, there is no warranty or
condition of title, quiet enjoyment, quiet possession, correspondence to
description or non-infringement with regard to the Manual.
B. Limitation of liability. To
the maximum extent permitted by applicable law, in no event shall
Accreditation Resources be liable for any special, incidental, punitive,
indirect, or consequential damages whatsoever (including, but not limited to,
damages for loss of profits or confidential or other information, for lack of
any regulatory compliance or accreditation, for personal injury, for loss of
privacy, for failure to meet any duty including of good faith or of reasonable
care, for negligence, and for any other pecuniary or other loss whatsoever)
arising out of or in any way related to the use of the Manual.
VI. Miscellaneous. This EULA
shall be governed by the laws of the state of Ohio, and any dispute concerning
the EULA shall be adjudicated in the Common Pleas Court of Stark County, Ohio,
or in the District Court for the Northern District of Ohio. This EULA
shall constitute the entire agreement between the End User and Accreditation
Resources relating to the Manual, and supersedes all prior or contemporaneous
oral or written communications, proposals and representations with respect to
the Manual or any other subject matter covered by this EULA. If any
provision of this EULA is held to be void, invalid, unenforceable or illegal,
the other provisions shall continue in full force and effect.
